The National Chairman of NIMENA is the Chief Executive and directs the programme and mandate of the Institution on behalf of the members. He/She presides at every General Meeting and at the meeting of the Council and Executive Committee of the Institution. The National Chairman stays in office for a period of two years and is succeeded by the National Vice Chairman. The National Vice Chairman is elected every two years and automatically becomes the National Chairman after the expiration of the two-year tenure of the predecessor.
The Council of NIMENA(CONIM) is the governing body of the Institution and it meets every four months to consider reports from the Executive, Chapter and Standing Committee, make policies and to deal with other matters affecting the business of the Institution.
The Council is made up of statutory members and reports to the Annual General Meeting held once every year. The Annual General Meeting is an expanded gathering of members of the Institution.
The National Executive Committee (NEC) of the Institution is responsible for overseeing the management and administration of the affairs of the Institution and reports to CONIM. The NEC is made up of the National Chairman, National Vice Chairman and other members elected at the Annual General Meetings every year. The meeting of the NEC is held quarterly.
In the same manner, NIMENA has Chapter Executive Committees (CHEXCO) responsible for overseeing the management and administration of the affairs of the Institution at the Chapter level. The structure of CHEXCO and election of its members are akin to that of NEC. The meeting of the CHEXCO is held quarterly.
The Institution also has Standing Committees that deals with specialized areas relevant to the interest of NIMENA. Members of the Committees are appointed by the National Executive Committee subject to the approval of CONIM.
The Institution maintains a temporary Secretariat at No. 8 Liverpool Road, Apapa, Lagos. The overall coordination of the activities of NIMENA is the responsibility of the Secretariat. The National General Secretary is the Head of the Secretariat and is supported by an Administrative Officer.

The composition of the Council of NIMENA (CONIM) is based on that required by Article 6(III) of the 2015 Bye-Laws and consists of permanent and temporary members as follows:
- Elected National Executive Committee members (Temporary)
- All Past National Chairmen (Permanent)
- All Fellows of the Institution (Permanent)
- All Chapter Chairmen (Temporary)
- All Heads of Department of Marine Engineering/Naval Architecture Institutions of Higher Learning (Temporary)
- Representatives of NIMASA, NIWA, NPA, NCDMB, LASWA (Permanent)

NIMENA Bye-Law was drafted by a 3-man Committee with Engr Henry Unuigbe as the Chairman. The provisions in the Bye-Law were passed by members at the Annual General Meeting held on 24 September 2015.
